Transferability
Whether a business's value can actually move to a new owner: the lease, licences, brand, systems, customer relationships, and data. Untransferable value is unpaid value.
A buyer only pays for what survives the ownership change. Transferability is the audit of exactly that: can the lease be assigned, do the licences transfer or need re-application, is the brand legally owned, are the systems written down or in someone's head, does the customer data belong to the business or to a platform it rents?
Each broken link is a discount or a deal-breaker, and most are cheap to check years early and expensive to discover in due diligence. A lease with no assignment clause and 18 months left is a valuation problem that takes minutes to find and months to fix.
